Terms of Service

1. Acceptance of Terms

By accessing or using the Eduva platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you (the "User") and Eduva Technologies Limited ("Eduva," "we," "our," or "us"), a company registered under the laws of the Federal Republic of Nigeria.

2. Description of Service

Eduva is a cloud-based school management platform that provides tools for student management, attendance tracking, exam administration, fee collection, report card generation, parent communication, and related educational services. The Platform is offered as a subscription-based Software-as-a-Service (SaaS) product.

3. Account Registration

Schools register for Eduva through our onboarding process. The person who registers the school ("School Administrator") is responsible for:

  • Providing accurate and complete school information during registration.
  • Maintaining the security of the school's account credentials.
  • Managing user accounts (teachers, students, parents) within the school.
  • Ensuring all users comply with these Terms.
  • Obtaining necessary consents for data collection from students and parents.

4. Activation Fee

A one-time activation fee of ₦50,000 (fifty thousand Naira) is required to set up your school on the Platform. This fee covers:

  • Platform setup and configuration for your school.
  • Data migration assistance from existing systems.
  • Initial staff training session.
  • Account configuration and customization.

The activation fee is non-refundable once the school setup process has been initiated.

5. Subscription & Billing

After the activation fee and free trial period, the Platform operates on a per-student, per-term subscription model:

  • Subscription fees are charged per enrolled student per academic term.
  • Annual billing is available at a 33% discount compared to termly billing.
  • Subscriptions auto-renew at the start of each billing cycle unless cancelled.
  • Plan upgrades take effect immediately with prorated charges.
  • Plan downgrades take effect at the start of the next billing cycle.
  • All payments are processed securely through Paystack.

6. Free Trial

Upon payment of the activation fee, schools receive a 30-day free trial with the following terms:

  • Full access to all Premium plan features during the trial period.
  • Up to 50 students may be enrolled during the trial.
  • No per-student charges apply during the trial period.
  • At the end of the trial, the school must select a paid plan to continue.
  • If no plan is selected, the account will be automatically downgraded to limited access.

7. User Responsibilities

Users of the Platform agree to:

  • Provide accurate data when entering student records, grades, and other information.
  • Maintain the confidentiality of their login credentials.
  • Use the Platform only for lawful educational purposes.
  • Not attempt to access other schools' data or circumvent security measures.
  • Not use the Platform to distribute harmful, offensive, or inappropriate content.
  • Report any security vulnerabilities or data breaches to us immediately.

8. Data Ownership

Schools retain full ownership of all data they enter into the Platform, including student records, academic data, financial records, and communications. Eduva provides the technology infrastructure and does not claim ownership of school data. Schools may export their data at any time in standard formats (CSV, PDF).

9. Service Availability

We strive to maintain 99.9% Platform uptime. However, we reserve the right to perform scheduled maintenance, which will be communicated at least 48 hours in advance via email and in-platform notifications. Maintenance windows will typically be scheduled during off-peak hours (between 12:00 AM and 5:00 AM WAT). We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

10. Intellectual Property

The Eduva Platform, including its design, code, features, documentation, and branding, is the intellectual property of Eduva Technologies Limited. Users may not copy, modify, distribute, or reverse-engineer any part of the Platform. Schools retain ownership of their content (logos, reports, school-specific configurations).

11. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • Eduva is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability for any claim shall not exceed the fees paid by the school in the 12 months preceding the claim.
  • We are not responsible for errors in data entered by school staff.
  • We are not liable for payment processing issues caused by Paystack or the user's bank.

12. Termination

Either party may terminate the subscription:

  • Schools may cancel their subscription at any time. Access continues until the end of the current billing period.
  • Eduva may terminate an account for material breach of these Terms after 14 days written notice.
  • Upon termination, schools may request a data export within 90 days. After 90 days, data will be permanently deleted.
  • The activation fee is non-refundable upon termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Regulation (NDPR), the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and other applicable legislation.

14. Dispute Resolution

In the event of any dispute arising from these Terms or the use of the Platform:

  • The parties shall first attempt to resolve the dispute through good-faith mediation.
  • If mediation fails within 30 days, either party may submit the dispute to the courts of Lagos State, Nigeria.
  • Both parties agree to the exclusive jurisdiction of Lagos State courts for any legal proceedings.
